Terms of Service

These Terms of Service constitute a legally binding agreement between you and SalesHedge.ai. Please read them carefully before using the platform.

1. Acceptance of Terms

By creating an account, accessing, or using SalesHedge.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes.

2. Description of Service

SalesHedge.ai provides an AI-powered pipeline analysis and coaching platform for B2B sales professionals. The Service analyzes deal data provided by users and delivers prioritized coaching recommendations, risk scoring, and actionable guidance. The Service is available in multiple tiers, including a free tier with limited functionality and paid tiers with expanded capabilities.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account. Each account is for a single individual; you may not share account credentials. You agree to notify us immediately of any unauthorized use of your account.

4. User Data Ownership and License

4.1 Your Data

You retain all ownership rights to the deal data, pipeline information, and other content you submit to the Service ("User Data"). SalesHedge does not claim ownership of your data.

4.2 License to Process

By submitting User Data, you grant SalesHedge a limited, non-exclusive license to process, analyze, and store your data solely for the purpose of providing the Service to you and your authorized organization members.

4.3 Anonymized Data

SalesHedge may use anonymized and aggregated data derived from User Data to improve scoring algorithms, velocity baselines, and benchmark accuracy across the platform. Such anonymized data will not identify you, your organization, or any specific deal.

4.4 Data Portability

You may export your deal data at any time through the Service or by contacting jay@saleshedge.ai.

4.5 Sensitive Data Prohibition

You must not enter Social Security numbers, financial account numbers, protected health information, credit card numbers, or other regulated personally identifiable information into deal fields or any other input within the Service. SalesHedge is not designed to handle regulated data categories and assumes no liability for such data if submitted.

4.6 AI Training and Model Improvement

The deal information and related content you enter into the Service is used to train and improve SalesHedge's AI coaching engine. SalesHedge uses de-identified patterns derived across many users to make the Service's coaching, scoring, and forecasting smarter for all users; your individual deal records are never exposed to other customers. This use applies to all accounts, including free accounts, by default. A customer on a paid subscription tier may opt out of this use only as expressly provided in the subscription agreement for that tier; absent such an opt-out, this use continues regardless of plan. By creating an account and accepting these Terms, you agree to this use of your data.

5. AI-Generated Content and Disclaimers

5.1 Advisory Nature

All coaching recommendations, risk scores, deal analysis, draft emails, talk tracks, and other outputs generated by the Service ("AI Output") are produced by artificial intelligence and are advisory in nature only. AI Output is designed to inform your decision-making, not to replace your professional judgment.

5.2 No Guarantee of Results

SalesHedge does not guarantee that following AI Output will result in closed deals, increased revenue, improved pipeline health, or any specific business outcome. Sales results depend on numerous factors beyond the scope of the Service.

5.3 Accuracy Limitations

AI Output may be inaccurate, incomplete, outdated, or inappropriate for your specific situation. You are responsible for evaluating and verifying all AI Output before acting on it.

5.4 Decision Responsibility

You are solely responsible for all business decisions made based on AI Output, including but not limited to deal prioritization, customer communications, pricing strategies, and resource allocation.

AI Output does not constitute legal, financial, tax, or other professional advice. Consult appropriate professionals for such matters.

6. Vendor Intelligence Disclaimer

The Service may include information about technology vendors, their products, pricing, and sales motions ("Vendor Intelligence"). This information is provided for general guidance only. SalesHedge does not guarantee the accuracy, completeness, or timeliness of Vendor Intelligence. Vendor information may be outdated; you should verify with the vendor directly. SalesHedge is not affiliated with, endorsed by, or partnered with any vendor in the intelligence database unless explicitly stated.

8. Intellectual Property

8.1 SalesHedge IP

The Service, including its scoring engine, red flag taxonomy, velocity baseline framework, urgency modifier framework, coaching methodology, deal lifecycle model, and all associated algorithms, models, and outputs, are proprietary intellectual property and trade secrets of SalesHedge.

8.2 Restrictions

You may not copy, reproduce, distribute, reverse engineer, create derivative works from, or otherwise exploit SalesHedge intellectual property. This includes but is not limited to the specific risk patterns, coaching language, scoring weights, and analytical frameworks embedded in the Service.

8.3 Your IP

You retain all intellectual property rights to your User Data as described in Section 4.

9. Subscription and Payment

The free tier is limited to 5 active deals with core functionality. Paid subscriptions are billed monthly or annually as selected at the time of purchase, processed securely through Stripe. SalesHedge does not store your credit card information. No refunds are provided for partial billing periods. SalesHedge reserves the right to change pricing with 30 days' written notice to affected subscribers.

10. Termination

You may terminate your account at any time by contacting jay@saleshedge.ai. SalesHedge may terminate or suspend your account for violation of these Terms. Upon termination, your User Data will be retained for 90 days to allow for export, after which it will be permanently deleted. Anonymized and aggregated data derived from your usage will be retained indefinitely as described in Section 4.3.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SALESHEDGE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO SALESHEDGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

IN NO EVENT SHALL SALESHEDGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOST DEALS, LOST PROFITS, LOSS OF DATA, OR BUSINESS DECISIONS MADE BASED ON AI OUTPUT, REGARDLESS OF THE THEORY OF LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless SalesHedge and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Data; (c) actions taken based on AI Output; (d) your violation of these Terms; or (e) your violation of any third party's rights.

13. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUT. SALESHEDGE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

14. Changes to Terms

SalesHedge reserves the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Miami, Florida.

15.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15.4 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
